USER AGREEMENT

The terms of this User Agreement (“Agreement”) govern Your usage of Our platform CorpSecretary.in (previously known as CS members.in) (“Platform”) which include use of Our Platform on web browser, mobile application, SMS and e-mail notifications and any other services provided with any other form of communication.

By creating a profile, accessing, downloading or using Our Services (as defined below) in any available form, You agree to be bound by the terms of this Agreement, and You explicitly consent to Our Privacy Policy, Privacy Statements (EU, UK, US, CA, AU, ZA, BR), Cookie Policy, Cookie Policy (EU, UK, CA, AU, ZA, BR),  Opt-Out Preferences (US), Imprint and Disclaimer (“Policy Documents”).

Please create a profile on Our Platform using Your email address, choosing a password, and providing your nickname, Your name as per Institute records, Institute membership number, Profile Type (“Member”).

If You do not agree to the terms of this Agreement, do not click ‘Sign up’ or create profile and do not access or otherwise use any of Our Services. If you wish to terminate this Agreement, at any time You can do so by closing Your account and no longer accessing or using Our Services.

As a visitor to our Platform, if You are browsing Our Platform without registering as a Member, You will have limited access to Our Platform (“Visitor“). By continuing to browse Our Platform as a Visitor, You agree to comply with the terms of this Agreement and the Policy Documents. If You do not agree to these terms, please refrain from accessing Our Platform or using any of Our Services.

As used in this Agreement, “We,” “Us,” and “Our” means Jagadishwar Technology Solutions Private Limited and “You” or “Your” shall mean Member  and Visitor.

1. OBJECTIVE OF THE PLATFORM

The objective of this Platform is to connect members of The Institute of Company Secretaries of India worldwide. By utilizing this Platform, Members can enhance their professional development, broaden their social networks, excel in their careers, and contribute to the growth of their fellow Members.

2. FEATURES AND BENEFITS 

2.1 Choose your profile: Membership is available on this Platform for students, members in practice, members in service, members in business, members in politics, and Firms, creating a vast array of networking possibilities.

2.2 Connect with Members: Connections foster a sense of community and support, leading to stronger relationships and increased personal and professional growth. Your membership gives access to connect with other Members on this Platform. Through connections, You can share and receive information, ideas, and opportunities.

2.3 Follow Members: Following a Member can provide access to their valuable knowledge, expertise, and insights, which can benefit Your own personal or professional development. This Platform allows You to follow other Members in the Platform.

• By following a Member, You can show support and build a sense of community, which can lead to increased engagement, collaborations, and other opportunities.
• Following a Member can also increase the visibility and reach of Your own profile and content, as well as facilitate engagement and interaction with the Member and their network.
• By following a Member, You can build a relationship with them and potentially discover new connections and opportunities for personal and professional growth.
• Following a Member can also help You stay up to date on industry trends, news, and developments, and provide a platform for discussion and sharing of ideas.

2.4 Send messages: Your membership on this Platform allows You to chat with other Members, share information, collaborate on projects, and develop professional and personal relationships. It allows for one-on-one communication between Members, with messages remaining private and invisible to other Members.

• Through this feature, You can exchange messages, documents, photos, videos, emojis, and GIFs.

• Additionally, You can easily search and access any past messages, documents, photos, or videos.

2.5 Groups: On this Platform You can join / exit groups, create groups for Your communication needs, participate in group discussions.

2.6 Choose Your reach: This Platform offers communication opportunities for qualified company secretaries and students on two levels: Global and City

“Global” Group – all Members, qualified/ student members, can join this group from anywhere in the world. This will facilitate global communications.

“City” Groups– All Members, qualified/ student Members, belonging to a particular city can join these groups. This will facilitate city level communications.

Whenever member post a message in any group, an email alter will be sent to all members in that group.

Member can join any active city group of his choice.

2.7 No forwarding necessary, as compared to WhatsApp: When a document, photo, or video is shared on this Platform, You can access it from anywhere globally. This eliminates the duplication and overloading of files on individual devices.

2.8 Save your phone storage space: Unlike WhatsApp, the files are stored in the cloud or central database, saving Your phone storage space.

2.9 Activities: In a group, You can do various activities such as posting messages, sharing documents, photos and videos, sending invitations to others to join.

2.10 Search and retrieve: You can search and retrieve previous messages, documents, photos, or videos.

2.11 Enhance your relationships: Through promoting open, respectful, and sincere communication, You can enhance your relationships, resolve conflicts, and collaborate towards common objectives. Relationship can be enhanced by clicking on Like button and appreciating a good post.

2.12 Add fun factor: Bring a smile on everyone’s face with the GIFs and emojis in Your messages and make conversations lively.

2.13 Articles: This Platform provides a unique opportunity to express Your thoughts, share Your knowledge, explain the facts with figures, present Your opinion, enjoy the freedom of writing, review comments and improve Your writing skills.

2.14 No Limits on length: Commence publishing articles as short as 10 lines and relish the opportunity to hone Your writing skills.

2.15 Write at Your own pace: This Platform has a draft-saving feature, allowing You to add to Your article whenever convenient and regardless of Your location.

2.16 Become an author, editor, and publisher: Compose articles in 49 professional and 5 social categories such as health, travel, sports, cooking, and story, or even add a custom category to fit Your needs. Review feedback, polish Your writing, and expand Your understanding.

2.17 Efficiently find information: With this Platform, Members can quickly search for and access the desired article whenever it is needed.

2.18 Corporate Secretary Centric Forums: Forums provide a Platform for people to discuss and exchange ideas on a specific topic. They allow individuals to learn from others, share their experiences, and gain insights into different perspectives. Forums also provide a space for networking and building connections with like-minded individuals. Currently there are seven forums are available for discussion on this platform: Accounting, Company Law, FEMA, Finance, GST, Income Tax, and Technology. Site Admin can be contacted for creation of a new forum.

2.19 Full freedom: You can initiate new discussions, post inquiries, seek support or clarification, and share documents, photos, and videos in forum discussions. Emojis and GIFs are also enabled in forums to facilitate lively discussions.

2.20 Create, teach and learn with ease: This platform provides a Learning Center with dedicated features for both students and instructors. Instructors can create courses using a frontend drag and drop builder and courses are displayed with stylish details and listings. The platform includes personalized dashboards for teachers and students, unlimited quizzes and assignments, advanced analytics and reports, and course completion certificates.

2.21 Digital Library and File search: This platform automatically creates digital library of documents, photos and videos shared by Members. You can access this Digital Library anytime from anywhere in the world. You can search the Digital Library for the document, photo or video You need.

2.22 Rename files: The ability to rename files is a useful feature, as the names of files shared may not always accurately represent their contents. With this platform, You have the option to change the file name to better reflect what it holds.

 2.23 File Management: This platform offers a straightforward approach to file organization and You can do the following:

• • create folders to categorize Your files for better organization.
  • upload and download files with ease.
  • copy download links to share with others.
  • edit privacy settings to control access to Your files.
  • move files into or between folders to keep them organized.
  • search for specific files quickly and efficiently.
  • delete files when they are no longer needed.

2.24 You are the user and content manager: On this platform You are the user and content manager. We don’t interfere with Your file management.

2.25 Personal cloud storage: By selecting “Only Me” privacy setting for Your folder, You can use this platform as Your cloud storage solution.

2.26 FAQs on Ethics: Ethical dilemmas clarified in the form of Q&A in “Know Your Ethics” series published in the ICAI journal. You can simply press CTRL+F on FAQs on Ethics page to search using relevant keywords.

2.27 Incentives to Industry: You can Policies of both state and central governments that offer incentives to industry players on this page. The information on this page is intended to be useful  in Your discussions with clients and colleagues.

2.28 Key Documents: This page collates various key documents from statutory bodies, state, and central government organization websites. This is the go-to page when You are looking for government documents.

2.29 Zoom Meeting: Zoom is a cloud-based video conferencing platform that enables people to connect and collaborate from anywhere, at any time. Whether You’re conducting one-on-one meetings or hosting large webinars, Zoom provides an efficient and effective solution for virtual communication and collaboration.

2.30 Freedom to schedule: You can schedule a zoom meeting or a webinar any time in Global Group and select City Groups.

2.31 Edit Meeting Schedule: You can edit meeting schedule by clicking on 3 dots in the zoom meeting box.

2.32 Social Activities: Social activities play an important role in maintaining mental and emotional well-being, building relationships, and fostering a sense of community. Engaging in social activities helps to reduce stress, anxiety, and depression by providing opportunities for social support and connection. Zoom offers many creative opportunities for people to connect and engage in social activities virtually. Below are few examples of social activities.

• • Talent show: Talent shows and competitions can be conducted at the City, and Global levels via Zoom.

• • Communication Skill: Public speaking is the ability to effectively communicate a message to a live audience. It involves techniques such as proper posture, voice modulation, gestures, and the ability to engage and connect with listeners. Members can use Zoom facility to support and encourage other members to improve their public speaking skills.

• • Cooking Classes: A cooking class can be held over Zoom, with a chef or experienced cook demonstrating a recipe to the participants, who can then cook along with the demonstration. Members are encouraged to share the unique flavors of their region with other regions by passing on the knowledge of their secret recipes to other Members.

• • Yoga or workout Classes: Zoom can be used for virtual yoga or workout classes, with an instructor leading participants through exercises and routines from a remote location.

• • Motivational Speakers: Zoom is an ideal platform for inviting motivational speakers or “Guru jees” to benefit all Members.

2.33 Jobs listing: On this platform, You can list job opportunities that You come across. This includes job listings for organization in which you are working, Your clients’ organizations, as well as job references that You may have received through trusted sources such as friends and family.

 2.34 Events listing: Events can be a great way to foster professional and social connections. They provide an opportunity for individuals to network with others in their industry, to exchange ideas and knowledge, and to build relationships that can lead to new opportunities. Additionally, events can offer a fun and informal atmosphere in which people can connect on a personal level, share common interests, and build friendships that extend beyond the workplace. Overall, events can be a powerful tool for both professional and social bonding.

Currently, this Platform allows You to list professional events in four categories: Conferences, Seminars, Webinars, and Workshops. Additionally, social events can be listed in five categories, including Celebrations, Cricket, Holidays, Pilgrimages, and Trekking. You can contact site admin for addition of new category.

2.35 Doctors Listing: Identifying the right doctor can be a complex process due to a lack of information, multiple options, insurance coverage, language barriers, and trust issues. To find the right doctor, individuals may need to do thorough research, consult with others, and evaluate their personal needs and preferences. Despite these challenges, finding the right doctor is essential for receiving quality medical care and maintaining good health. You can help other Members by listing good doctors known to You.

2.36 Places Listing: Identifying tasty food, suitable accommodation, and appealing tourist attractions can be a complex process that involves careful research, consultation with others, and evaluation of individual needs and preferences. You can help other Members by listing good places in your hometown and other cities known to you. By sharing this information, Members can help each other.

Currently listing can be done in four categories – Tasty Food- Veg, Tasty Food- Non-Veg, Accommodation, Tourist attraction.

2.37 Members Office and Home listing: Member Office:  By listing Your office, You can facilitate potential clients and other Members in helping  You with any professional requirements.

2.38 Member Home: You can list Your home to connect and socialize with other Members, providing an opportunity to catch up with each other.

2.39 Government Offices: You can list Government offices that are beneficial for Members, such as GST Bhavan or Income Tax office.  This will assist fellow Members when visiting Your city.

2.40 List Vehicles & Properties: On this Platform You can list vehicle or property for sale, rent or lease. You can list for Your own needs or for Your client. If You are working for a vehicle dealer or property developer, You can list vehicles and property with good offers for Members.

You can list Your vehicle in 7 categories- cycle. scooter, bike, hatchback, sedan, SUV and MUV. Property in 5 categories- residential, commercial, office, land and industrial.

2.41 Privacy Settings:  You can adjust the visibility settings for Your documents, photos and videos by selecting one of the following options: “Public”, “All Members”, “My Connections”, or “Only Me”.

You can also control Your own privacy, as per the terms of the Privacy Policy provided on Our Platform, right from Your own account. This gives You the ability to determine which other Members can view Your profile and/or any other information uploaded by You on the Platform. From time to time, We may introduce additional features which will assist You in safeguarding Your privacy.

3. MANAGING THE SERVICES

3.1 Obligation to access Our Platform

3.1.1 You are responsible for use of Services, and undertake to comply with the applicable laws, and adhere to terms of this Agreement and Policy Documents provided on Our Platform. You may access Our Platform for free of cost and also use Our Premium Services by subscribing on Our Platform.

3.1.2 You are responsible for safeguarding Your account by using a strong password and keeping the password confidential. You must reset/ change Your password whenever You are aware of suspicious activity in Your account. You should immediately inform Us of any unauthorized use of Your password or Your account, upon becoming aware of any such discrepancy.

3.2 Information regulation

3.2.1 We reserve the right to restrict the circulation of any content if the said content is violating Our policies as per Policy Documents or any applicable law. We may also suspend or terminate Your account for such a violation. Please refer to Our Policy Documents provided on Our Platform on how we regulate the content.

3.3 Payment

3.3.1 If You subscribe to Our Premium Services or enrol to paid courses provided by Us, You agree to pay Us the applicable fees and taxes and comply with additional terms specific to the paid Services. We may calculate taxes payable by You based on the billing information that You provide Us at the time of subscription of Premium Services. Failure to pay these fees will result in the termination of Your use of Premium Services. The payment information will be stored on Our Platform subject to Our Privacy Policy and applicable law and will continue to be billed subsequently. To avoid future charges, cancel before the renewal date. Refund Policies will govern in the event of cancellation of Premium Services.

3.4 Responsibility

3.4.1 We do not undertake responsibility or endorse, support, represent, authorize the circulation of all the information published on Our Platform, and We do not further attest to the accuracy, originality, reliability, legitimacy, completeness, of such information, as available on Our Services. We may not always monitor or control the information accessible on Our Platform, and as an intermediary We cannot assume responsibility for such information. Members sharing the information should take responsibility for the information shared by them. However, in case if You want to report any violation, You may bring it to Our attention by reporting on Our Platform.

3.4.2 We may be required to remove information if such information is violative of established legal principles or is violating any applicable law. In this connection, We shall abide by the binding directions of legal authorities as and when they are made. If You have obtained a legal order for removal of any information, please furnish the details regarding the same to Us. While We endeavour to comply with legal directions or in other compelling circumstances, it may not always be possible to immediately notify You of an action taken on Our part. You may appeal against any action taken by Us in safeguarding Our Platform. You can contact Our Grievance Committee. The contact details of the same are provided under Clause 10.1.1 below.

3.5 Notifications from Platform

3.5.1 We send You SMS and email notification as necessary and You agree that we provide You the same.

3.6 Changes in terms of this Agreement

3.6.1 We reserve the right to update, modify, alter, amend, the terms of this Agreement or Privacy Policy Documents at any time as necessary. Any changes We make to this Agreement or Policy Documents will be updated on Our Platform. Changes to this Agreement and Policy Documents will become effective from the date they have been posted on the Platform. The latest revision date will be provided at the beginning of this Agreement and Privacy Policy.  Your continued use of this Platform following the posting of changes or updates will be considered as Your acceptance to abide by and be bound by the revised terms.

3.7 Intellectual property

3.7.1 The Services provided to You under this Platform are protected by copyright, trademark, and other laws. Nothing in these terms of this Agreement gives You the right to use Our trademarks, logos, domain names, other distinctive brand features, and other proprietary rights. All right, title, and interest in and to the Services  (excluding Content provided by users) are and will remain Our exclusive property and its licensors.

3.7.2 You may forward Our newsletter in the electronic form to others who may be interested in visiting Our Platform.

4. RIGHTS AND LIMITATIONS

4.1 License to use

4.1.1 You own rights on the information shared by You. We do not claim ownership of information that You share on Our Platform. By submitting, posting, displaying, or communicating information on Our Platform, You hereby grant Us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, reproduce, process, such information across all formats. You also represent and warrant that You have obtained required permissions to share information on Our Platform.

4.1.2 You may share information that You share on Our Platform with others as We only have non-exclusive rights on the information.

4.1.3 We will obtain consent if We want to give others the right to publish Your information beyond Our Platform. However, if You choose to share Your post as “public, everyone or similar”, We will enable a feature that allows other Members to share the public post onto third-party services, and We enable search engine that allows the users of other services find Your information.

4.1.4 You agree that We may access, store, process and use any information and personal data that You provide in accordance with the terms of the Privacy Policy and applicable law. We will ensure that while We make edits, the meaning of the information and expression will remain unchanged.

4.1.5 If You do not wish to grant license to Us, You may delete such information on Our Platform, or generally by closing Your account. Such information may not be deleted (a) to the extent You shared it with others and they copied, re-shared it or stored it and (b) for the reasonable time it takes for Us to remove from backup and other systems.

4.1.6 You agree to only provide information that does not violate the law nor anyone’s rights (including intellectual property rights). You also agree that Your profile information will be truthful. We may be required by law to remove certain information to comply with applicable laws.

4.2 Service availability

4.2.1 We may change, suspend or discontinue any of the services provided on Our Platform. We may also modify subscription fee for Our Premium Services at any point of time. You agree and comply with such changes as provided on Our Platform.

4.3 Third party services and property

4.3.1 Our Platform helps You connect with other Members offering their services (career advising, accounting, etc.). We do not perform nor employ individuals to perform such services. If You are interested to provide such services, You must be at least 18 years of age to offer, perform or procure these services. You also acknowledge that we do not supervise, direct, control or monitor Members in the performance of such services. The terms of third party providing services will apply on the services provided by them. We are not responsible for the offering, performance or procurement of these services or do not endorse any particular Member’s offered services including any opinions offered by them. You are responsible to make informed decision and assess the risk associated with such services. Nothing shall create an employment, agency, or joint venture relationship between Us and any Member offering services. If You are a Member offering services, You represent and warrant that You have all the required licenses and will provide services consistent with Our policies. Services provided by Member or other third parties include educational courses, teachers/instructors, jobs, Member offices and homes, ICSI branches, government offices, doctor information and places of interest.

4.3.2 Similarly, Our Services also include facilitating events organized by Members and connect with other Members who are attendees at such events. You agree that we are not responsible for the conduct of any of the Members or other attendees at such events. In addition, we do not endorse any particular event listed on Our Platform and we do not review and/or vet any of these events. You are responsible for complying the terms and conditions of those events.

4.3.3 Our Platform also provides classified Services wherein Members can list their property or vehicles for sale, rent or lease. We do not take liability in any interactions or transaction in relation to classified Services including payment, delivery, representation or warranty. You agree and acknowledge that We will not be made responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or interactions including, but not limited to, payments, delivery of goods or services, any other terms or warranties or representations from the individual offering services.

4.3.4 If there is a dispute between Members on the Platform, or between Members and any third party related to the services or goods provided by them, You understand and agree that We are under no obligation to become involved in such dispute. You agree to defend, indemnify and hold Us harmless, Our officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses that may arise out of disputes between You and others.

4.4 Control of Your account

4.4.1 We reserve the right to limit Your use of Services on Our Platform, including the number of Your connections and Your ability to contact other Members. We reserve the right to restrict, suspend, or terminate Your account if You breach the terms of this Agreement or the law or are misusing the Services.

4.5 Automated processing

4.5.1 We use the information that You provide and the information We have about Members to make recommendations for connections, content and features that may be useful to You. For example, We use data and information about You to recommend jobs to You and You to recruiters. Keeping Your profile accurate and up to date helps Us to make these recommendations more accurate and relevant.

5. DISCLAIMER AND WARRANTY

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE PLATFORM AND THE SERVICE IS ENTIRELY AT YOUR OWN RISK AND THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT) PROVIDED ARE “AS IS” AND “AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE. YOUR USE OF SERVICE IS AT YOUR OWN RISK. WE AND OUR AFFILIATES OR ASSOCIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLATFORM’S INFORMATION OR THE INFORMATION OF ANY THIRD-PARTY WEBSITES LINKED TO THE PLATFORM. WE ARE  NOT LIABLE IN CONNECTION WITH THIS AGREEMENT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY OTHER MEMBER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY MEMBER OR THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

6. SECURITY AND RETENTION OF YOUR PERSONAL INFORMATION

6.1.1 We maintain the personal information in electronic form. We shall take all necessary precautions to protect Your personal data and implement reasonable security practices and measures including certain managerial, technical, operational and physical security control measures that are commensurate with respect to the information being collected and the nature of Our business. Specifically, We ensure that the required security infrastructure is put in place to safeguard Your personal information against loss, unauthorised access, destruction, use, processing, storage, modification or de-anonymisation, will at all times be adherent to the best industry standards.

6.1.2 We retain the information which We have collected for a period necessary as per Our requirements, and as may be required in law. If We need to retain Your personal information for a longer period, We will inform You prior to the extension of the storage period and seek Your consent to extend the retention period. We will delete Your information whenever You request Us to do. However, We may archive and/or retain some information for legal purposes. Any other information which is processed by Us for analytical purposes, will only be processed in an aggregated or non-identifiable basis.

6.1.3 Sometimes, You may post/ upload personal information of other individuals (family, friends, likewise). If You post/upload   such personal data, You represent and warrant that You have obtained their consent for their personal information to be collected, used and disclosed as set out in Our Privacy Policy.

7. RETENTION OF CONTENT SHARED BY YOU

7.1.1 You are responsible for managing the content provided by You like files, photographs or any other documents shared by You on Our Platform. Managing includes upload, copy, edit, move, search and delete operations on Your documents. We do not take responsibility in managing or retaining Your content. If You delete a file or any other document on Our Platform, We may not be able to retrieve such file or any other document.

8. AFFILIATE MARKETING

8.1.1 We may engage in affiliate marketing whereby We receive a percentage of commission on the sale of Services or products on or through this Platform. We may also accept sponsorships or other forms of advertising compensation from businesses. This disclosure is intended to comply with legal requirements on marketing and advertising which may apply.

9. SOCIAL VIGILANCE

9.1.1 We aim to protect the integrity of Our Platform with the help of policies in place and by implementing several mechanisms. However, We encourage the Members and Visitors also to inform Us in case If they notice any following behaviour:

• If You find inaccurate or inappropriate information on other Member’s profile;
• If You notice any inappropriate behaviour or offensive behaviour including harassment or cyber bullying;
• If You notice violation of this agreement or Privacy Policy.

9.1.2  Please raise a complaint on Our Platform and the Grievance Committee will investigate the complaint reported by You. After reviewing the reported items, the Grievance Committee will take necessary action including taking down the account, if necessary. At this stage, We will in Our good efforts try to protect the identity of the Complainant. We have limited ability to act on information appearing beyond Our Platform unless it’s in direct violation of Our brand.

9.1.3 Report or block a Member: This platform is developed for exclusive use of Company Secretary Professionals and Company Secretary Students. If You find a Member who is not a member of Institute or entered this network with fake credentials or if a Member is causing inconvenience to You, You can report or block that Member.

You can block or report a Member by clicking on 3 dots in the Member profile box. Member will be auto suspended after 5 blocks or after 5 reports.

Once You block a Member, You will no longer be able to interact or view the Member you have blocked. You can also unblock a blocked Member.

9.1.4 Report a Post:  If You are not happy with a post of another Member, You have the option to report the by clicking on the three dots in that post box. If five Members report the same post or comment, it will be hidden automatically.

9.1.5 Report a Comment: If You are not happy with a comment posted by another Member, You have the option to report the comment by clicking on the three dots in the comment box. If five Members report the same comment, it will be automatically hidden.

9.1.6 Report a Forum, Discussion, or Reply: If you come across any forum, discussion, or reply that requires attention, You can report it. After receiving five reports, the forum, discussion, or reply in question will be automatically hidden.

9.1.7 Report a Document, Photo or Video: If You are not happy with a document, photo or video posted by another Member, You have the option to report the document, photo, or video by clicking on the three dots in that file box. If five Members report the same file, it will be hidden automatically.

10. TERMINATION

10.1.1 Both You and We have right to terminate the Agreement to use of Services on Our Platform. Clauses 3, 8,9, 10 and 11 shall survive the termination. After account termination, You should not attempt to create a new account without Our permission.

10.1.2 After termination, other Members and Visitors will have rights to further re-share information You shared on Our Platform.

11. DO’S AND DONT’S

11.1.1 We set out below a list of acceptable and unacceptable conduct for use of Our Platform. Members shall comply with the below mentioned Do’s and Don’ts while they continue to remain as Members. These might change as necessary and We request You to check them regularly.

11.1.2 Do’s

• Comply with terms of this Agreement and Policy Documents;
• Comply with all applicable laws and governmental regulations, including, but not limited to, all intellectual property, data, privacy and export control laws, and regulations promulgated by any government agencies;
• Use the Services provided by Us for professional and personal development;
• Provide real, accurate and updated information.
• Avoid spreading false information or rumours.
• Follow professional and social ethical standards.
• Use the Platform for Professional and Social networking purpose
• Contribute for the development of Profession through active participation in groups and forums for knowledge sharing
• Be the helping hand by contributing to the listings in this Community.

11.1.3 Don’ts

• Misrepresent or create false identity while creating Your profile on the Platform;
• Upload, transmit, develop, support, use software or engage in any other activity that may affect the efficiency or performance of the Platform;
• Access the Platform in order to build a similar or competitive platform;
• Disclose information that You do not have the consent or right to disclose;
• Violate the intellectual property rights of Us or others;
• Violate any law including export control laws or regulations of India;
• Use bots or other automated methods to access the Platform, add or download contacts, send or redirect messages;
• Deep link to Our Platform for unauthorised use;
• Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Platform or any related technology that is not open source;
• Impersonate any person including Members or Administrators or entity on Our Platform;
• Post or share any information which is obscene, pornographic or invasive of another’s privacy;
• Post any information that threatens the unity, integrity, sovereignty or friendly relations with foreign states;
• Modify the Services or appearance of Our Platform;
• Interfere with the operation or place unreasonable load on Our Platform;
• Access this Platform from territories or countries where the information or purchase of the products or Services sold on this Platform is illegal; and
• Is in the nature of an online game or advertisement of an online game that is not verified as a permissible online game

13. DISPUTE RESOLUTION

13.1.1 Any discrepancies or grievances with relation to the Services provided on the Platform or breach of this Agreement (including Member’s misrepresentation) shall be taken up by Grievance Committee. 13.1.2 In the event You are not satisfied with Our resolution by the Grievance Committee, the dispute shall be entitled to be referred to arbitration. If a dispute is referred to arbitration by either party, such dispute shall be referred to a sole arbitrator mutually appointed by the parties. The arbitration proceedings shall be conducted in accordance with the provisions of the International Arbitration and Mediation Centre, as amended from time to time. The place of the arbitration shall be Hyderabad, Telangana and the language of the arbitration shall be English.

13.1.3 This Agreement shall be governed by and construed in accordance with the laws of India without regard to the conflicts of law rules of any jurisdiction. Subject to clause 7.1.2 above, the You agree that courts at Hyderabad, India shall have exclusive jurisdiction in respect of this Agreement.

14. OTHER TERMS

14.1.1 If any of the terms of this Agreement are unenforceable as per applicable law, the terms shall be modified to the extent the rest of the terms are enforceable. This Agreement supersedes any other agreements between the parties.

14.1.2 Delay in enforcing any of Our right or breach of this Agreement does not mean that we have waived Our right to enforce this Agreement. You may not assign or transfer this Agreement (or Your membership or use of services) to anyone without Our consent. However, You agree that we may assign this Agreement to its affiliates or a party that buys it without Your consent. There are no third-party beneficiaries to this Agreement.
